1. Service Description

FlowUp is an AI Agent marketplace and automated workflow platform operated by Xiangyang Intelligence Co., Ltd. The Platform provides the following core services:

  • Marketplace:Allows developers to list AI Agents for users to search, try, and purchase
  • Wishing Well:Users can submit requests, and developers collaborate to develop solutions
  • Enterprise:Provides customized AI implementation and performance-based revenue sharing services for enterprises

2. Account Registration and Management

To use the Platform services, you need to:

  • Provide true, accurate, and complete registration information
  • Properly safeguard your account password and be responsible for all activities under your account
  • Immediately notify the Platform if your account is compromised
  • Not transfer, sell, or lend your account to others

3. Developer Terms

If you use the Platform as a developer to list AI Agents, you agree to:

  • All listed works are your original creation or you have obtained legal authorization
  • Comply with the Platform's listing review mechanism and quality standards
  • Provide accurate feature descriptions and pricing information
  • Be responsible for the execution results and quality of your works
  • Agree to the Platform charging a 20% service fee per transaction
  • Cooperate with the Platform for necessary audits and compliance checks

The Platform provides payment collection/distribution and invoicing services to help developers complete the monetization process.

4. User Terms

As a Platform user, you agree to:

  • Use services in accordance with Platform regulations
  • Not abuse, attack, or interfere with Platform operations
  • Not use the Platform for illegal activities
  • Understand and accept that AI Agent execution results may contain errors
  • Be responsible for the content of data you input

5. Billing and Payment

The Platform adopts a transparent pricing mechanism:

  • Each Agent's price and billing method is set by the developer and displayed in real-time
  • Usage and costs can be viewed in real-time on the dashboard
  • Supports credit top-up and direct payment methods
  • All transaction records are fully preserved for inquiry and audit

6. Service Level and Guarantee

The Platform is committed to providing reliable services:

  • All Agents undergo Platform unified listing review
  • Provides permission management and execution audit mechanisms
  • Has SLA and fault compensation mechanisms
  • Complete execution and usage logging for traceability

However, due to the nature of AI technology, we cannot guarantee 100% accuracy of execution results. Users are advised to perform manual verification before important decisions.

7. Intellectual Property

The intellectual property rights of the Platform and its content (including but not limited to trademarks, logos, interface design, code) belong to Xiangyang Intelligence Co., Ltd. The intellectual property rights of Agents listed by developers belong to the developers, but developers grant the Platform the right to display, sell, and execute such works.

8. Prohibited Conduct

When using the Platform, the following behaviors are prohibited:

  • Uploading or distributing malware, viruses, or harmful content
  • Infringing on others' intellectual property or privacy rights
  • Engaging in fraud, money laundering, or other illegal activities
  • Unauthorized access to others' accounts or systems
  • Interfering with or disrupting Platform operations
  • Circumventing Platform billing mechanisms
  • Posting false reviews or manipulating the rating system

9. Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use this service. The Platform's total liability is limited to the fees you have paid to the Platform.

10. Service Changes and Termination

The Platform reserves the right to modify, suspend, or terminate part or all of the services at any time. For significant changes, we will notify users in advance. If users violate these terms, the Platform has the right to suspend or terminate their accounts.

11. Terms Amendment

The Platform may amend these Terms of Service from time to time. Amended terms will be posted on the Platform, and continued use of the service constitutes your agreement to accept the amended terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of China. For disputes arising from these Terms, both parties agree that the Taipei District Court of Taiwan shall be the court of first instance.
